SELECTA GROUP SOLICITATION OF CONSENTS

Amsterdam, 15. September 2020, Reference is made to the announcement of Selecta Group B.V. dated September 9, 2020, in relation to the consent solicitation. Capitalized terms used but not defined in this announcement have the same meaning ascribed to them in the Consent Solicitation Statement.

The Issuer is pleased to announce that it has received sufficient consents from Holders of the Notes and has executed a supplemental trust deed to give effect to the Proposed 2 Amendments. The supplemental trust deed is effective and operative, and therefore consents are no longer revocable. Now that the Supplemental Trust Deed has become effective, the Group expects to issue the practice statement letter in respect of the Scheme today.

In connection with the Scheme, all Holders are potentially eligible to receive a lock-up fee in connection with the Lock-Up Agreement if they accede to the Lock-Up Agreement no later than 4:00 pm (London time) September 15, 2020.
